 TERMS & CONDITIONS


Interpretation

“Seller” means AAA Catering Engineers and Ackwa Ltd 

“Buyer” means the other party contracting with the Seller

“Manufacturer” the company that makes/suppliers original/universal parts 

“Conditions” means the standard terms and conditions agreed in writing between the Buyer and the Seller 

“Contract” means the contract for the sale and purchase of equipment, parts and service 

“Default” means any act, statement, omission, breach of obligation (whether expressed or implied, condition or warranty) contained in, precedent or collateral to the Contract, breach of duty under stature or of common law or negligence by or on the part of the Seller in connection with or arising out of the subject matter of the Contract. 

“Equipment” means the goods including spare parts, purchased by the Buyer or serviced or repaired by the Seller. 


General

 It is acknowledged that all Equipment purchased under the Conditions are required by the Buyer in the course of business. 


Basis of the Sale 

The Seller shall sell and the Buyer shall purchase the Equipment in accordance with any written order of the Buyer which is accepted by the Seller subject to the Conditions which shall govern the Contract to the exclusion of any other terms and conditions subject to which any such order is made or purported to be made by the Buyer. No binding Contract shall in any event arise until the Buyerʼs written order has been accepted by the Seller. No variation of the Conditions shall be binding unless agreed in writing between the Seller and the Buyer. Any samples, illustrations or descriptive material including but not limited to particulars of shade and pattern and other information contained in the Sellerʼs brochures, advertising material or elsewhere shall not form part of the Contract and shall be treated as approximate and for guidance only unless specifically state otherwise. The Seller may at its discretion from time to time vary the design of the Equipment from that advertised without notice to the Buyer provided that any such variations do not constitute material alterations to the Equipment. 


Product Warranty 

The terms of any specific product guarantee offered by the Seller to customers of the Equipment shall be specifically made part of the Conditions. The Buyer undertakes to observe the Sellerʼs service policy as laid down from time to time. The Manufacturer warrants that the Equipment will correspond with its specification at the time of delivery and will be free from defects in material and workmanship for a minimum period of 12 months from delivery (Spare Parts carry 3 months Manufacturers warranty from delivery date) The above warranty is given by the Seller subject to the following conditions: The Manufactuerer shall be under no liability in respect of any defect arising from fair wear and tear, wilful damage, negligence, failure to follow the Manufacturers instruction (whether oral or in writing), misuse, alteration or repair of the Equipment/ Spare Parts.

Delivery

We will attempt to deliver equipment on a next day basis – except special orders. Next day delivery service is only available to mainland UK (This excluded Highland and Islands). Delivery charge will be £15 plus VAT. Delivery outside of mainland UK may incur additional charges. Unpack & Site and Scrap collection services are NOT available . 


Damage

 It is the Buyerʼs responsibility to inspect the equipment at the time of taking delivery. Should equipment arrive damaged the delivery note should be endorsed accordingly and Seller notified in writing within 24 hours. Claims for damage will not be entertained on a clean signature or if signed unexamined. If parts are received damaged they must not under any circumstances be used to repair or replace already faulty parts. 


Cancellation 

The Seller will only accept cancellations as follows: 

a) If the Buyer cancels after the goods have left our warehouse a charge of 25% of the invoice will be levied. 

b) IfthegoodshavebeenunpackedbytheBuyerorhisAgentthenthegoodswill be deemed unreturnable and the order cannot be cancelled. 

c) An additional charge of £30 + vat per item will be levied if the Seller is required to collect packaged goods from cancelled orders, 

d) SpecialequipmentorderedbytheBuyerwillbesubjecttospecialconditions. Please contact our sales office for further details. Cancellation will not be accepted on special orders. 


Prices While every effort will be made to adhere to our published “Price List” we reserve the right to alter or amend prices without prior notification. All prices quoted are exclusive of VAT at the standard rate. 


Payment

All orders will be paid by debit or credit card at the time of order. Credit card charges of 3% per transaction will be added to the order on invoices over £100 excluding VAT. 


Ownership and Risk 

From the time of delivery to the Buyer or to the assigned point of delivery, the equipment shall beat the Buyers risk.Ownership of the equipment shall not pass to the Buyer until payment in full has been received by the Seller. The Buyer shall take the appropriate steps to notify any third part of the Sellers interest in the equipment and in the event of a threatened seizure of the equipment or of the appointment of a receiver or liquidator or administrator, shall immediately notify the Seller and the Seller shall be entitled to reposess the equipment upon which the Seller retains the Title from the Buyerʼs premises or location. 


Forge Majeure 

The Seller shall not be liable in respect of any breach of contract due to any cause beyond his reasonable control including Act of God, inclement weather, flood, lightning or fire, industrial action or lockouts, the act or omission of Government , highways or riot, or the act or omissions of any party for whom the Seller is not responsible.


The Seller shall not be liable for any damage incurred to the machine or person repairing the machine. Should injury occur no responsibility nor compensation be offered by AAA Catering Engineers nor Ackwa Ltd. The service offered is to diagnose a simple fault and supply the relevant parts for the machine to be repaired. It is always recommended that a qualified engineer repairs damaged equipment.
